PARTIES

This Rental Agreement & Liability Waiver ("Agreement") is entered into between HitSelect LLC DBA Hit Select Podcast Studio, a Utah limited liability company ("Studio"), located at 140 E 200 S, Ste 27, Tooele, UT 84074, and the individual or entity completing the booking ("Client"). By booking a session and checking the acknowledgment box on the booking form, Client agrees to all terms set forth in this Agreement.

ARTICLE 1 — Studio Use & Access

Hit Select Podcast Studio provides a professional video podcast recording environment available for rental by appointment only. All sessions must be booked in advance through our official booking platform at podcast.HitSelectAgency.com. Walk-in sessions are not guaranteed and are subject to availability.

Sessions are operated by Hit Select Podcast Studio staff. Clients do not have unsupervised or independent access to the studio space. A studio representative will be present during all sessions.

ARTICLE 2 — Client-Provided Equipment

Clients may bring their own equipment into the studio, however all client-provided equipment must be approved by Hit Select Podcast Studio prior to the session. Unapproved equipment may be denied entry to the studio space.

Hit Select Podcast Studio accepts no responsibility for damage to, loss of, or malfunction of client-owned equipment while on premises. Clients bring their own equipment at their own risk.

ARTICLE 3 — Content, Data & Ownership

Client retains full ownership of all content recorded during their session. Hit Select Podcast Studio claims no rights, license, or interest in any recordings produced during a booked session.

Session content may be stored temporarily on studio systems for the sole purpose of delivery to the Client. Once delivered, content will be removed from studio systems. Hit Select Podcast Studio is not responsible for data loss resulting from hardware failure, file corruption, or circumstances beyond our reasonable control.

In the event of a technical failure on our end that results in corrupted or unusable recordings, Hit Select Podcast Studio will provide a complimentary replacement session of equal value at no additional charge. This remedy applies only to failures caused by studio-owned systems and does not apply to issues resulting from client-provided equipment or files.

Client grants Hit Select Podcast Studio a limited, non-exclusive right to reference the session for general promotional purposes (e.g., "Recorded here" mentions or general studio promotion) unless the Client submits a written opt-out request prior to the session. No recordings or content will be shared without explicit written consent.

ARTICLE 4 — Rules of Conduct

Clients agree to treat the studio space, all equipment, and all staff with respect at all times. The following are strictly prohibited:

• Damage or misuse of studio equipment, furniture, lighting, cables, props, or fixtures.

• Threatening, abusive, or disruptive behavior toward staff or other individuals on premises.

• Recording content that violates applicable law, including content that infringes copyright, defames individuals, or constitutes illegal material of any kind.

• Consuming food or beverages near equipment without permission.

Hit Select Podcast Studio reserves the right to terminate any session immediately and without refund if a Client or their guests violate these rules of conduct.

Clients are responsible for leaving the studio space in a clean and orderly condition at the conclusion of their session.

ARTICLE 5 — Minors

Clients must be 18 years of age or older to book a session. Individuals under the age of 18 may participate in a session only with a parent or legal guardian present for the entire duration. The legal guardian assumes full responsibility for the minor and agrees to all terms of this Agreement on their behalf. The guardian must remain on premises from session start to session end without exception.

ARTICLE 6 — Cancellation, Rescheduling & Refund Policy

Cancellations

Cancellations made at least 2 hours before a scheduled session are eligible for a full refund. Hit Select Podcast Studio reserves the right to retain up to 10% of the session fee as a cancellation charge. This is evaluated on a case-by-case basis and is not automatically applied to every cancellation.

Cancellations made less than 2 hours before a scheduled session are non-refundable.

Rescheduling

Sessions may be rescheduled with at least 2 hours notice. Rescheduled sessions that are subsequently cancelled are non-refundable regardless of the notice given. Rescheduling cannot be used to circumvent or extend the cancellation window. A session that is rescheduled and then cancelled will be treated as a late cancellation regardless of timing.

No-Shows

Failure to arrive for a scheduled session without prior notice is non-refundable and will be treated as a same-day cancellation.

How to Cancel or Reschedule

All cancellation and reschedule requests must be submitted in writing through the booking platform or via email to be considered valid. Verbal or phone requests are not accepted.

ARTICLE 7 — Assumption of Risk & Release of Liability

Client acknowledges that use of a professional studio environment involves inherent risks, including but not limited to contact with overhead lighting equipment, cables, audio and video equipment, furniture, props, and other studio fixtures. Client assumes full personal responsibility for their own safety and the safety of any guests they bring onto the premises.

Client agrees to release, waive, and hold harmless HitSelect LLC DBA Hit Select Podcast Studio, its owners, officers, employees, agents, and representatives from any and all claims, damages, injuries, losses, or liabilities arising from use of the studio space or equipment, whether caused by negligence or otherwise.

ARTICLE 8 — Financial Responsibility for Damages

Client is financially responsible for any damage caused to studio equipment, fixtures, furniture, or property during their session or by their guests. If damage occurs, Client must notify studio staff immediately. Repair or replacement costs will be assessed at fair market value and are the sole financial responsibility of the Client.

If damage is discovered upon Client arrival prior to the session start, Client must notify studio staff before the session begins. Failure to report pre-existing damage may result in the Client being held responsible.

ARTICLE 9 — Indemnification & Hold Harmless

Client agrees to indemnify, defend, and hold harmless HitSelect LLC, its owners, officers, employees, and agents from and against any and all claims, losses, costs, damages, demands, penalties, fines, and expenses (including reasonable attorney fees) arising from: (a) Client's use of the studio space or equipment; (b) the actions or conduct of Client or Client's guests while on premises; (c) any content recorded, produced, or distributed from sessions conducted on our premises; or (d) Client's failure to comply with this Agreement or applicable law.

ARTICLE 10 — Compliance With Laws

Client agrees to comply with all applicable federal, state, and local laws, statutes, regulations, and ordinances in connection with their use of the studio. Client is solely responsible for ensuring that all content produced during their session does not violate copyright, defamation, privacy, or any other applicable laws. Hit Select Podcast Studio assumes no liability for the content Client produces.

ARTICLE 11 — Dispute Resolution

In the event of a dispute arising out of or relating to this Agreement, the Parties agree to first attempt to resolve the matter in good faith through direct communication. If a resolution cannot be reached, disputes shall be resolved through binding arbitration or in the appropriate state or federal courts of Utah. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Utah. Each Party waives their right to a jury trial with respect to any dispute arising from this Agreement.

ARTICLE 12 — Severability

If any provision of this Agreement is found to be invalid, unenforceable, or prohibited by law, that provision shall be ineffective only to the extent of such prohibition or unenforceability. The remaining provisions of this Agreement shall remain in full force and effect.

ARTICLE 13 — Non-Waiver

The failure of Hit Select Podcast Studio to enforce any provision of this Agreement on any occasion shall not constitute a waiver of its right to enforce such provision on any future occasion.

ARTICLE 14 — Policy Updates

HitSelect LLC DBA Hit Select Podcast Studio reserves the right to modify this Agreement at any time without prior notice. The most current version will always be reflected on our booking page at podcast.HitSelectAgency.com. Continued use of our booking services constitutes acceptance of any updated terms.

ARTICLE 15 — Entire Agreement

This Agreement constitutes the complete and entire agreement between Hit Select Podcast Studio and the Client with respect to the subject matter hereof. It supersedes all prior understandings, representations, or agreements between the Parties. This Agreement may not be modified except by written agreement signed by an authorized representative of HitSelect LLC.
